The lawsuit alleges that the defendants made materially false and misleading statements about the Company’s business, operations and prospects throughout the class period. In particular, the Defendants made false and misleading statements and failed to disclose: (i) despite claims to the contrary, the number of new members (i.e., “Life”) that the Elixir PBM Services business added during the sales season ending January 1, 2023, was in material decline; (ii) Rite Aid would likely recognize a significant goodwill impairment charge related to Elixir due to a decrease in the “lives” covered by Elixir’s PBM service business; and (iii) as a result, the Company’s public statements were materially false and misleading at all relevant times.
