This class action seeks damages against the defendants for alleged violations of the Securities Exchange Act of 1934 (the “Exchange Act”).

The Complaint alleges that the Defendants made materially false and misleading statements about the Company’s business, operations and prospects throughout the Class Period. In particular, the Defendants provided false and/or misleading information and/or failed to disclose the following: (1) Gumrukcu was not a licensed physician and had no documented qualifications beyond high school; (2) Accordingly, the scientific and technological basis of Enochian’s product pipeline allegedly invented by Gumrukcu was dubious at best; (3) Accordingly, Defendants had grossly overstated the commercial prospects for the Company’s product pipeline; (4) Enochian’s top leadership knew that Gumrukcu had a criminal history that included fraud; (5) accordingly, Enochian’s reliance on Gumrukcu and its consulting and licensing agreements with G-Tech and SRI exposed the company to increased risk of reputational and financial damage and threatened the integrity of the company’s scientific knowledge; and (6) as a result, the Company’s public statements were, at all relevant times, materially false and misleading.
